The license is active until terminated by you or Sellsio. If you fail to comply with any of the terms & conditions of this license, your rights under this licence will terminate automatically without notice. Upon termination of the license, you shall cease all use of the licensed application.

Payment Terms:

When signing up to pay a licence fee, you will need to enter your credit/debit card details. Sellsio uses a PCI compliant payment provider. When you sign up for a rolling subscription, whereby the subscription renews on a monthly or annual basis, you authorise Sellsio to request payment from your card provider at the appropriate intervals. Sufficient funds are needed in your account to meet the subscription fee due to us. We will request the payment again in the event that a payment was unsuccessful. When your payment is processed, you will receive a confirmation email. Fees must be paid monthly in advance, failure to make payment may result in loss of access to your account until payment has been made. Payment will start after the trial period, or if migrating from another system, after the migration is complete, access will not be given during the period between the trial ending and the migration date. Subscriptions are monthly rolling, you must give 30 days notice in order to cancel, the final payment will be pro-rata based on your start date. The term of any free trial will be agreed at the time you agree the terms and conditions. The term of the trial will be limited to 7 days. Sellsio shall be entitled in its sole and absolute discretion to delete any content associated with an account that is not upgraded to a paying account at the end of the free trial period and terminate access to such account.

Migrations into Selliso are subject to a fee, the fee varies depending on the system the migration is coming from and the size of the data being imported. When not charged, we will provide assistance with your account setup. SMS credits are not included with your monthly subscription, we will automatically top-up your SMS credits should the balance reach zero, if you would like this switched off, you will need to request this in writing, you are responsive for ensuring your account has sufficient SMS credits. If you cancel your subscription with Sellsio, your SMS credits cannot be transferred or refunded. Training literature is available online, on site training is chargeable and paid upfront, there are no refunds for unused training. Intellectual property:

Sellsio is the sole owners of the application, you shall retain ownership of any content by you. The application is protected by copyright and other IPRs. You may not sell, license, copy, distribute, modify the application, other than content uploaded by you. Any unauthorised use of the application will result in the automatic termination of the limited license granted by us. Sellsio has the right to terminate the license without notice at any given moment following any breach or unauthorised use by you or any person under your control of the application. Sellsios data is stored in the cloud (cloud-based) and is automatically backed up every 6 hours, the provider we use is Digital Ocean Spaces.

Liability:

You acknowledge that Sellsio is an off the shelf product and that the application has not been bespoke to meet your requirements, therefore its your responsibility to ensure that the functions of the application meet your requirements. Sellsio will not be held liable for any loss of profit, loss of business, business interruption, loss of business opportunity, loss of use or any special, indirect, damages.

Scope of license:

The license granted to you for the licensed application is limited to a non-transferable license. You may not rent, lease, lend, sell, redistribute the licensed application. You may not copy, decompile, reverse engineer, disassemble, attempt to derive the source code, modify, or created derivative works of the licensed application. Any attempt to do so is a violation of the rights of the application provider. If you breach this restriction, you may be subject to prosecution and damages.
